
The Fluor Code of Business Conduct and Ethics is the centerpiece of our commitment to conducting our global business legally and with high standards of integrity. It serves as a resource and a tool for employees to use when they need information or guidance before making a decision or taking an action. While the Code cannot possibly cover every subject area or situation, employees who read, understand, and follow it will know the right questions to ask, the right experts to consult, and the right way to make decisions. The Code also contains an ethical decision-making framework and a list of available resources where employees can obtain guidance or report suspected misconduct.

Tips: No person or document can tell you what is right or wrong in every business situation. If you are ever in doubt, ask yourself:
- Is this legal? Have I checked with the company's subject matter expert?
- Would it conflict with any of Fluor's core values: safety, integrity, teamwork or excellence?
- Am I involving the right people?
- How would I feel telling my family or children about my decision?
- If I choose to act on this situation, would my decision be fair?
- How would I feel reading about my choice in a newspaper, or explaining my choice to a judge or jury?

- If you know it's wrong, don't do it.
- If in doubt, ASK.
- Keep asking until you get an answer.
- Don't ignore what you believe to be illegal or unethical conduct.
- Set an example for others.
- Take responsibility by DOING THE RIGHT THING. For managers, this includes taking responsibility for having the proper and necessary policies, procedures and an environment to DO THE RIGHT THING.
In 2006, Fluor expanded its Code of Business Conduct and Ethics by adding new areas of coverage based on a high-level global risk assessment. It reflects Fluor's continuing and absolute determination to do the right thing, recognizing that this is a huge challenge in today's complex global environment. It also better addresses the risks, challenges, and customs in the countries in which we operate.

Fluor is finalizing a Code of Business Conduct and Ethics ("Expectations for Suppliers and Contractors") to outline what the company expects of suppliers, contractors, and joint venture participants. In addition, the company has standard due diligence procedures, contract language, and requirements for joint venture partners, suppliers, and subcontractors.
